1. Who we are and what these terms cover
1.1 This website at deep-medical.ai is operated by Deep-Medical Ltd, registered in England and Wales under company number 13242918, at 1 Primrose Street, London, EC2A 2JN. In these terms, "we", "us" and "our" mean Deep-Medical Ltd, and "this website" means deep-medical.ai and any related addresses we operate.
1.2 These terms apply every time you use this website. By using it you accept them. If you do not accept them, please do not use the site.
1.3 If we have a separate written agreement with you or your organisation for the supply of our software or services, that agreement governs that supply. These terms govern the website only, and where the two conflict in relation to supply, the separate agreement takes priority.
1.4 If other terms are published on a specific part of this website and they conflict with these terms, these terms take priority unless the other terms say expressly that they override them.
2. Changes
2.1 We may change these terms, and when we do we will change the date at the top of this page. The version in force is the one published when you use the site. We may also change, suspend or withdraw any part of this website at any time.
3. Using this website
3.1 You may use this website for any lawful purpose, including for your own business and professional purposes. You may not use it in any way that breaks the law, infringes anyone's rights, or restricts anyone else's use of it.
3.2 You must not knowingly introduce viruses or other malicious material, attempt to gain unauthorised access to this website or any server, computer or database connected to it, or attack it by means of a denial of service attack.
3.3 You must not use this website to impersonate anyone, or to harass, abuse or defame anyone.
3.4 We will report any breach of clause 3.2 to the relevant law enforcement authorities and cooperate with them, including by disclosing your identity. Your right to use this website ends immediately on any such breach.
4. Information on this website
4.1 The content of this website is provided for general information about our company and our work. We take care to make it accurate when published, but we do not warrant that it is accurate, complete or current, and content may become out of date without our updating it.
5. Performance figures and client results
5.1 Outcomes from our software depend on factors outside our control, including the quality and completeness of the data an organisation provides, how it configures and uses the service, how its clinics are staffed and run, and patient behaviour in its area.
5.2 Statements about our plans, our intentions or what we expect in future are forward looking and are not promises.
6. Nothing here is advice and nothing here is a contract
6.1 Nothing on this website is clinical, medical, legal, financial or other professional advice, and nothing on it should be relied on as a substitute for advice from a suitably qualified professional.
6.2 Our software supports decisions taken by trained staff at healthcare organisations. It does not make clinical decisions and it is not a substitute for clinical judgement.
6.3 Nothing on this website is an offer capable of acceptance and nothing on it creates a contract between us. Any supply of our software or services is governed by a separate written agreement.
6.4 Nothing on this website is an offer of securities or an invitation to invest.
7. Our intellectual property
7.1 We own or are licensed to use all intellectual property rights in this website and everything published on it, including text, graphics, video, data, layout, and our name and logo. All rights are reserved.
7.2 You may print or download extracts for your own use and draw the attention of colleagues to content here. You must not modify anything you copy, you must keep any copyright or source notice intact, and you must not use anything for commercial purposes without our written permission. Where we permit use, you must acknowledge us as the source.
7.3 Some material here is published with the permission of others. Where that is stated, permission must be obtained from the rights holder named.
8. Automated access and use for training
8.1 You must not use any automated system, including any robot, scraper or crawler, to access, copy, monitor or extract content from this website, except for a public search engine indexing the site in the ordinary way and in accordance with our robots file.
8.2 You must not use content from this website to train, fine tune or evaluate any machine learning model, or to build any dataset for that purpose, without our written permission.
8.3 You must not use content from this website to build, market or improve a competing product or service.
9. Material you send us
9.1 If you send us information through this website we will handle it in accordance with our Privacy Notice. You must have the right to send us anything you send, and it must not be unlawful or infringe anyone else's rights.
9.2 We do not claim ownership of anything you send us. Where you send us feedback, comments or suggestions about our website or our services, you agree that we may use them freely without obligation to you.
9.3 Please do not send us confidential information through this website. If you need to share something confidential, contact us and we will agree a route first.
9.4 Please do not send us any patient identifiable information or protected health information through this website. It is not an approved route for it. If you send it to us, we will delete it and tell you.
10. Availability
10.1 We do not guarantee that this website will always be available or uninterrupted, or free of errors, viruses or bugs, and we may suspend, withdraw or restrict it without notice. You are responsible for configuring your own equipment and for your own protection against harmful material.
10.2 Where this website links to other sites, those links are provided for information only. We do not control or endorse those sites and we are not responsible for their content.
11. Our liability
11.1 Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited or excluded by law.
11.2 Subject to clause 11.1, we exclude all conditions, warranties, representations and other terms that might otherwise be implied into these terms.
11.3 Subject to clause 11.1, we will not be liable to you for any loss or damage, whether in contract, tort including negligence, breach of statutory duty or otherwise, arising out of your use of this website, your inability to use it, or your reliance on anything published on it. This includes loss of profits, loss of business, business interruption, loss of anticipated savings, loss of goodwill, and loss or corruption of data.
11.4 Subject to clause 11.1, we will not be liable for any failure or delay caused by anything outside our reasonable control, including the failure or unavailability of any telecommunications or computer equipment, system or software operated by you or by a third party.
11.5 If you are a consumer rather than a business user, nothing in these terms affects your statutory rights.
12. Privacy and cookies
12.1 Our Privacy Notice explains how we handle personal information and our Cookie Notice explains what cookies we use. By using this website you acknowledge that we handle personal information as described in our Privacy Notice. Where we need your consent, we ask for it separately.
13. Governing law
